Your access to and use of ICD Directors Register is subject to the terms and conditions listed below. The Institute of Corporate Directors (ICD) reserves the right to change/update such terms and conditions without notice.
The ICD Directors Register is a service that allows organizations/recruiters to post board roles and matches candidate qualifications with specific criteria selected by an organization that is looking for a new board member.
The information contained in the ICD Directors Register may only be used to assist you in finding a qualified candidate for a position on a board of directors.
You may not use, reproduce, publish, distribute or communicate all or any part of the information contained in the ICD Directors Register except as expressly permitted.
In particular, but without limiting the foregoing, you may not use the information contained in the ICD Directors Register:
- for any commercial purposes unless specifically licensed to do so by the Institute of Corporate Directors,
- for creating or compiling any directory or mailing list;
- for any other purpose where such information will or could be used
as a source of or substitute for the information contained in ICD Directors Register; - by means of any agents, bots, spiders or other means of automatic information gathering; or
- in breach of any applicable laws or regulations, including privacy laws.
You may not reproduce, publish, distribute or communicate all or any substantial part of the information contained in the ICD Directors Register except that you may reproduce such part of the information as may be required to enable you to use the information for the purpose expressly permitted by clause 1, and provided that you erase or delete any such reproduction immediately after you have used the information for such purpose.
The entire risk associated with the use of the ICD Directors Register and the information contained therein is assumed by you. The information contained in the ICD Directors Register is provided on an "as is" basis and all warranties and conditions, whether express, implied or collateral are disclaimed including, without limitation, all warranties of merchantability, quality, marketability or fitness for particular purposes or those arising by law, statute, usage of trade or course of dealing. In particular, but without limiting the foregoing, The Institute of Corporate Directors does not warrant that the information contained in, or operation of, the ICD Directors Register is accurate, up-to-date, error free or free from any software virus or other harmful component, and does not endorse, confirm or represent the expertise or competence of any of the persons listed in the ICD Directors Register.
In no circumstances shall the Institute of Corporate Directors, its officers or employees be responsible or liable for any loss or damages whatsoever, including, without limiting the generality of the foregoing, any direct, indirect, incidental, special, or consequential damages, arising from or in connection with your use of, access to or your reliance on, or your inability to use or gain access to, the information contained in the ICD Directors Register, or arising from or in connection with any advice, action or inaction of any person listed in the ICD Directors Register.
Clients of the ICD Directors Register can expect to be provided with information on at least 3 candidates that will match, or most closely match, their search parameters, to a maximum of 50. The final search report will be sent to the client.
Clients agree to notify the ICD when an ICD Directors Register candidate has been successfully appointed or elected as a director.
These terms and conditions shall be governed and construed by the laws of the province of Ontario and the laws of Canada applicable therein.
